We reserve the right to modify, suspend, or discontinue any aspect of our services at any time, with reasonable notice to affected clients. We also reserve the right to refuse service to anyone for any lawful reason at our sole discretion.

Confidential information does not include information that: (a) is or becomes publicly available through no breach of these terms by WEBSPRING LLC; (b) was known to WEBSPRING LLC prior to its disclosure by you without breach of any obligation owed to you; (c) is received from a third party without breach of any obligation owed to you; or (d) was independently developed by WEBSPRING LLC without use of or reference to your confidential information.

12. Termination

We may terminate or suspend your access to the website and services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms of Service. Provisions of these Terms of Service that by their nature should survive termination shall survive termination, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

For termination of active service engagements, the terms of the applicable services agreement shall govern.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms of Service and any dispute or claim arising out of or in connection with them, their subject matter, or their formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the State of Connecticut, United States of America, without giving effect to any choice or conflict of law provision or rule.

13.2 Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms of Service, or the breach, termination, or validity thereof, shall first be attempted to be resolved through informal negotiations in good faith between the parties. If the dispute cannot be resolved through informal negotiations within 30 days, either party may pursue resolution through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules.

The arbitration shall be conducted by a single arbitrator mutually agreed upon by the parties, or failing agreement, appointed by the American Arbitration Association. The arbitration shall take place in Fairfield County, Connecticut, and shall be conducted in the English language. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

13.3 Exceptions

Notwithstanding the foregoing, WEBSPRING LLC reserves the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of our intellectual property rights, confidential information, or other proprietary interests.

14. General Provisions

14.1 Entire Agreement

These Terms of Service, together with our Privacy Policy and any separate written agreements entered into between you and WEBSPRING LLC for specific services, constitute the entire agreement between you and WEBSPRING LLC regarding the use of the website and services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding such subject matter.

14.2 Severability

If any provision of these Terms of Service is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from these terms. The remaining provisions shall continue in full force and effect.

Any failure of WEBSPRING LLC to assert a right or provision under these Terms of Service shall not constitute a waiver of such right or provision.

WEBSPRING LLC may assign or transfer its rights and obligations under these terms, in whole or in part, without restriction, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets.

14.6 Force Majeure

All notices, requests, claims, demands, and other communications under these Terms of Service shall be in writing and shall be deemed duly given: (a) when delivered personally; (b) when sent by confirmed electronic mail; (c) three business days after being mailed by certified or registered mail, return receipt requested and postage prepaid; or (d) one business day after deposit with a nationally recognized overnight courier service.
